Terms of Service

1. Agreement

By signing up, logging in, or using the Deadline Pro service (“Service”) at deadlinepro.co.za or related domains, you agree to these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation (e.g. a firm), you represent that you have authority to bind that organisation. If you do not agree, do not use the Service.

2. Description of Service

Deadline Pro is a software platform for tax and accounting practices to manage clients, compliance deadlines, calendar, services, billing, and client portal. We provide the Service as described on our website and as updated from time to time. We do not provide accounting, tax, or legal advice.

3. Account and Use

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping credentials secure. You must use the Service in compliance with applicable law (including South African law) and must not use it for any illegal purpose, to infringe others’ rights, or to transmit harmful or offensive content.

4. Subscription and Payment

Paid plans are billed in accordance with the pricing displayed at signup or in the app. Payments may be processed via PayFast or other designated payment providers. Fees are in ZAR unless stated otherwise. You authorise us to charge the payment method on file for recurring subscriptions. Refunds are handled in line with our refund policy (see website or contact us). We may change pricing on reasonable notice; continued use after changes constitutes acceptance.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information, including under the Protection of Personal Information Act (POPIA). You are responsible for ensuring that your use of the Service and any data you upload complies with POPIA and that you have appropriate legal grounds to process personal information.

6. Acceptable Use and Security

You must not attempt to gain unauthorised access to the Service or related systems, interfere with the Service’s operation, or use it to distribute malware or abuse other users. We may suspend or terminate access if we reasonably believe you have breached these Terms or pose a security or legal risk.

7. Intellectual Property

We own or license the software, design, and branding of Deadline Pro. We grant you a limited, non-exclusive licence to use the Service for your internal business use in accordance with these Terms. You retain ownership of data you upload; you grant us the licence necessary to operate the Service (e.g. to store, process, and display your data).

8. Disclaimers

The Service is provided “as is”. We do not warrant that it will be uninterrupted, error-free, or fit for any particular purpose. We are not liable for decisions you make based on the Service or for the accuracy of data you or third parties supply.

9. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability for any claims arising from or related to the Service shall not exceed the fees you paid to us in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or punitive damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under South African law.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or for operational or legal reasons, with notice where practicable. On termination, your right to use the Service ceases. We may retain and delete data in accordance with our Privacy Policy and applicable law.

11. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on the website and, for material changes, we will notify you by email or in-app notice. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.

12. General

These Terms are governed by the laws of the Republic of South Africa. Any dispute shall be subject to the exclusive jurisdiction of the South African courts. If any provision is held invalid, the remainder remains in effect. Our failure to enforce a right does not waive that right.
